1. About these Terms

1.1 These Terms of Use ("Terms") govern your access to and use of our websites: the Thrive Tribe online local business directories we operate, each at its own web address (each, a "Directory"), and our main Thrive Tribe website at thrivetribe.co.nz (together, and including any successor URLs, our "Sites"). References to "the Directory" apply to whichever Directory you are using; the general terms (including acceptable use, intellectual property, availability, disclaimers, and liability) apply to all our Sites.

1.2 In these Terms, "Thrive Tribe", "we", "us", and "our" means Bizzy Boss Solutions Limited, a New Zealand company trading as Thrive Tribe. "You" and "your" means any person who accesses or uses our Sites.

1.3 By accessing or using our Sites, you agree to these Terms. If you do not agree, please do not use them.

1.4 If you have a premium listing, whether purchased it or received it as a complimentary upgrade, the Premium Listing Terms of Trade also apply to that listing. Where there is any inconsistency in relation to a premium listing, the terms of that listing prevail.

2. About Our Sites

2.1 These Terms cover the Thrive Tribe websites: our online local directories, where people find local businesses, organisations (including community groups and sports clubs), and services in the area each directory covers; and our main Thrive Tribe website at thrivetribe.co.nz, which gives an overview of Thrive Tribe and links to our directories. We may add further directories over time.

2.2 The Directory is free to use and is an information service only. Businesses and organisations can list for free, or pay for a premium listing. Any dealings you have with anyone listed in the Directory are solely between you and them. We are not a party to, and are not responsible for, any transaction, agreement, communication, or dispute between you and a listed business or organisation.

2.3 Each Directory is local-first: it exists to help people find the businesses and organisations local to the area it covers. By "local" we mean a business that is owned and operated locally, or has a physical presence in that area, and that serves the local community. Local businesses are always welcome to list. A business based outside that area may be listed only where it adds something the area does not already have, or has only minimally. All listings are accepted at our discretion. We prioritise local businesses and may decline or remove any listing. Fuller details on how we assess eligibility is available on request.

3. Listings, Reviews and Third-Party Content

3.1 Listings on the Directory may be created by us, collected from publicly available sources and other providers, supplied by the business or organisation itself, or supplied by third parties. We do not create or independently verify all listing information.

3.2 The Directory may also display reviews, ratings, logos, images, or links sourced from businesses, organisations, or third-party platforms (for example, Google or Facebook). Where content originates from a third party, we do not author it; it reflects the views of the person who created it, not Thrive Tribe.

3.3 We do not warrant or take responsibility for the accuracy, completeness, currency, fairness, or quality of any listing, review, rating, or other content shown on the Directory. A listing is not a recommendation, endorsement, or approval by us, and does not mean we have verified, vetted, or guaranteed any business or organisation, or its goods, services, qualifications, licences, or conduct.

3.4 The Directory may contain links to third-party websites. We do not control those websites and are not responsible for their content, products, services, or privacy practices. Following a link is at your own risk.

3.5 You should confirm important details (such as pricing, availability, hours, and qualifications) directly with the business or organisation before relying on them.

3.6 Businesses and organisations: if you are listed, and the information is incorrect, or you want your listing updated or removed, contact us at hello@thrivetribe.co.nz. We will action reasonable requests within a reasonable time.

4. Acceptable Use

4.1 You may use the Directory only for lawful purposes and to find and contact local businesses and organisations for genuine personal or business reasons.

4.2 You must not:

• (a) use the Directory in any way that breaches any New Zealand law;
• (b) collect, scrape, harvest, copy, or extract listing data, contact details, or other content from the Directory in bulk, or by automated means, or for the purpose of marketing, resale, or building a competing product or database;
• (c) use contact details obtained from the Directory to send unsolicited commercial messages, in breach of the Unsolicited Electronic Messages Act 2007 or the Privacy Act 2020;
• (d) attempt to gain unauthorised access to the Directory, its systems, or its data;
• (e) introduce malware, or interfere with, disrupt, or place an unreasonable load on the Directory or its infrastructure; or
• (f) impersonate any person, business, or organisation, or misrepresent your affiliation with any person, business, or organisation.

5. Information You Submit to Us

5.1 The Directory may let you submit information to us, for example, through an enquiry form, a "new business" submission, or a contact form.

5.2 When you submit information, you confirm that it is accurate, that you are entitled to provide it, and that it does not breach clause 4 or infringe any third party's rights.

5.3 You grant us a non-exclusive, royalty-free licence to use, store, and (where relevant) publish the information you submit for the purpose of operating and improving the Directory. We may decline to publish or act on any submission at our discretion.

5.4 Do not submit confidential information or personal information about other people, unless you have the right to do so.

5.5 Where you give us contact details for a key contact, we use them to manage your listing and enquiries, and will not publish them. We handle the personal information you submit as set out in clause 8 (Privacy).

6. Intellectual Property

6.1 The Directory, the Thrive Tribe name and brand, and the design, layout, text, and graphics of the Directory are owned by or licensed to Thrive Tribe and are protected by intellectual property laws.

6.2 You may view and use the Directory for your own personal or internal business reference. You must not otherwise copy, reproduce, republish, distribute, or commercially exploit the Directory or its content without our prior written consent, except as clause 4.2(b) and applicable law allow.

6.3 Logos, images, and brand marks of listed businesses and organisations remain the property of those businesses and organisations.

7. Availability of the Directory

7.1 We aim to keep the Directory available and accurate, but we provide it on an "as is" and "as available" basis.

7.2 We do not guarantee that the Directory will be uninterrupted, error-free, secure, or free of downtime, maintenance, or technical issues. The Directory is operated using third-party platforms whose performance is outside our control.

7.3 We may change, suspend, restrict, or discontinue the Directory or any part of it at any time without notice.

8. Privacy

8.1 We handle personal information in accordance with the Privacy Act 2020 and our privacy policy at thrivetribe.co.nz/privacy, which explains what we collect and how we use it.

9. Disclaimers and Liability

9.1 Non-excludable rights. Nothing in these Terms limits or excludes any right or remedy you may have that cannot lawfully be limited or excluded, including under the Consumer Guarantees Act 1993 and the Fair Trading Act 1986.

9.2 Subject to clause 9.1, and to the maximum extent permitted by law:

• (a) our Sites and their content are provided without warranties of any kind, whether express or implied;
• (b) we are not liable for any loss or damage arising from your use of, or reliance on, our Sites or any listing or content on them, or from any dealing between you and a listed business or organisation;
• (c) we are not liable for any indirect, consequential, or special loss, or for loss of profit, revenue, data, or business opportunity; and
• (d) where our liability cannot be excluded but can be limited, our total liability to you is limited, at our option, to resupplying the relevant service or paying the cost of having it resupplied.

9.3 You are responsible for your own use of our Sites and for any decision you make based on them.

10. Indemnity

10.1 You indemnify Thrive Tribe against any loss, cost, claim, or liability we suffer arising from your breach of these Terms, your misuse of our Sites, or your breach of any law in connection with our Sites.

11. Changes to These Terms

11.1 We may amend these Terms from time to time. The current version will always be published on the Directory.

11.2 Changes take effect when published. Your continued use of the Directory after a change constitutes acceptance of the amended Terms.

12. General

12.1 Governing law. These Terms are governed by the laws of New Zealand. You submit to the non-exclusive jurisdiction of the New Zealand courts.

12.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force.

12.3 No waiver. A failure or delay by us in exercising a right under these Terms is not a waiver of that right.
